These Terms of Service ("Terms") govern the services provided by SNUBBIX LLC ("SNUBBIX", "we", "us") to business customers ("you") through snubbix.com and related communications.
1. Scope of services
We provide digital subtitle services for prerecorded video content that you supply, limited to the services described on our website at the time of your order, currently:
- formatting supplied text into SubRip (.srt) subtitle files;
- synchronizing supplied subtitle text with supplied media or timing references;
- transcript segmentation;
- structural and technical validation (quality control) of subtitle files;
- timestamp correction;
- conversion between SRT and WebVTT; and
- related, clearly specified media text processing.
We do not currently provide transcription from audio, translation, broadcast closed-captioning, burned-in subtitles, video editing, or API access. Our validation checks file structure and timing logic; it does not verify that text matches spoken words unless source-to-output verification is expressly included in your quotation.
2. Quotes and orders
2.1 You request a quotation through our website or by email. We review your requirements and source materials before quoting.
2.2 A quotation states the scope, deliverables, price, applicable tax, delivery estimate, revision allowance and validity period. Website estimates are indicative only.
2.3 An order is formed when you approve a quotation (for example through your project page) and, where the quotation requires it, payment is received. We may decline a request before an order is formed.
2.4 Changes to scope after approval — new materials, new rules, changed deadlines — may require a revised quotation, which takes effect only when you approve it.
3. Customer responsibilities
You confirm that you own or are authorized to provide all materials you submit, and that our processing of them for your order will not infringe anyone's rights or break any law. You are responsible for supplying usable source materials and accurate, complete project requirements. Delays or defects caused by unusable, incomplete or inaccurate materials are handled under section 7 of our Refund and Cancellation Policy.
4. Payment terms
4.1 Prices are in USD. Applicable taxes are calculated for the actual transaction and shown separately.
4.2 Accepted payment methods: Credit and debit cards, ACH bank transfer.
4.3 Unless your quotation states otherwise, payment is due on the invoice due date, and work begins once the quotation is approved and any payment the quotation requires before starting has been received.
4.4 Payments are processed by third-party payment providers. We do not store full card numbers or security codes.
5. Delivery and acceptance
5.1 Deliverables are delivered electronically through the channel stated in your quotation (for example a secure, expiring download link on your project page).
5.2 Delivery estimates are stated in your quotation. We will tell you promptly if a delivery date is at risk.
5.3 You should review deliverables and report any deviation from the agreed specification within the review period stated in your quotation, quoting your project reference.
6. Revisions
Unless your quotation states otherwise, one consolidated correction round is included for deviations from the agreed specification reported within the review period. Requests that change the original scope are quoted separately and are only carried out after you approve the additional quotation.
7. Intellectual property
7.1 You retain all rights in the materials you supply. You grant us a limited, non-exclusive licence to use them solely to perform your order and to keep records as described in our Privacy Policy.
7.2 Upon full payment, you may use the delivered subtitle files for any lawful purpose. Our internal tools, templates and methods remain ours.
8. Confidentiality and data handling
We treat your materials as confidential, access them only to perform your order, and share them only with service providers who need access to provide our services (for example hosting and storage), under appropriate obligations. Storage, retention and deletion are described in our Privacy Policy. Additional confidentiality terms may be agreed in writing.
9. Cancellations and refunds
Cancellations and refunds are governed by our Refund and Cancellation Policy, which forms part of these Terms.
10. Limitation of liability
10.1 To the maximum extent permitted by law, our total liability arising out of or relating to an order, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid for the specific order giving rise to the claim.
10.2 We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, even if advised of their possibility.
10.3 Our services are provided as described in your quotation. Except as expressly stated in these Terms, we make no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
10.4 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Disputes and governing law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws rules, and any dispute will be resolved exclusively in the state or federal courts located in Arapahoe County, Colorado. Before starting formal proceedings, both parties will try in good faith to resolve any dispute by contacting each other in writing.
12. Consumer rights
Our services are intended for business customers. Nothing in these Terms limits any rights you have under laws that cannot be excluded by contract.
13. Changes to these Terms
We may update these Terms. The version that applies to an order is the version in effect when the order was formed; the version identifier is recorded with each project.
